Article 1 – Seller
These Terms of Sale are entered into between:

and any natural or legal person (hereinafter “the Customer”) subscribing to a paid plan on the easybankflow.com website.
Article 2 – Purpose
The purpose of these Terms of Sale is to define the conditions under which MATCHA CORP sells access to the paid features of the EasyBankFlow service, an online tool for converting CSV/Excel files to the SEPA XML format (credit transfers and direct debits).
Article 3 – Plans and service description
EasyBankFlow offers several subscription plans detailed on the Pricing page. The features included in each plan are described on that page and may change subject to prior notice to the Customer.
- Free plan: limited access to the service, with no commitment or payment.
- Pro monthly plan: full access, monthly billing, cancellable at any time.
- Pro yearly plan: full access, annual billing, with a price discount.
Article 4 – Prices
Les prix des offres payantes sont affichés en euros (€), toutes taxes comprises (TTC), sur la Pricing page. MATCHA CORP se réserve le droit de modifier ses tarifs à tout moment. Toute modification tarifaire est communiquée au Client par email au moins 30 jours avant son entrée en vigueur. Le Client peut résilier son abonnement sans frais avant la date d'effet du nouveau tarif.
Article 5 – Payment terms
Payment is made online by bank card via the secure Stripe platform. The Customer's banking information is processed directly by Stripe and is never stored by MATCHA CORP. The subscription is renewed automatically at each due date (monthly or yearly) by charging the registered payment method. In the event of payment failure, MATCHA CORP reserves the right to suspend access to the service after an unsuccessful reminder.
Article 6 – Duration and renewal
The subscription is taken out for an initial period of one month or one year depending on the chosen plan. It renews automatically for the same period at the end of each term, unless cancelled by the Customer before the due date.
Article 7 – Cancellation
The Customer may cancel their subscription at any time from their personal area, via the Stripe management portal accessible from the EasyBankFlow dashboard. Cancellation takes effect at the end of the current subscription period; no pro-rata refund is made for the period already invoiced. At the end of the subscription, the Customer's account automatically switches to the free plan.
Article 8 – Right of withdrawal
Consumer customers (B2C): in accordance with articles L.221-18 et seq. of the French Consumer Code, consumer Customers have 14 days from subscription to exercise their right of withdrawal, without having to justify their decision.
However, by ticking the corresponding box when subscribing and requesting immediate access to the service, the Customer expressly acknowledges waiving their right of withdrawal in accordance with article L.221-28 12° of the French Consumer Code, as performance of the service began before the expiry of the 14-day period with their prior express consent.
Business customers (B2B): the right of withdrawal does not apply to contracts concluded between professionals in the course of their main activity.
Article 9 – Refunds
Sauf obligation légale contraire ou erreur manifeste de facturation imputable à MATCHA CORP, les sommes versées ne sont pas remboursables. En cas d'erreur de facturation, le Client dispose de 30 jours à compter de la date de facturation pour en faire la demande à contact@easybankflow.com.
Article 10 – Customer obligations
The Customer undertakes to:
- Utiliser le service conformément aux Terms of Service et aux lois en vigueur.
- Provide accurate information when registering and keep their account up to date.
- Check the compliance of the generated XML files before any submission to their bank.
- Not share their credentials with unauthorised third parties.
Article 11 – MATCHA CORP's liability
EasyBankFlow is a technical file conversion tool. MATCHA CORP undertakes to provide the service with care and diligence, but cannot be held liable for:
- Errors resulting from incorrect or non-compliant source files provided by the Customer.
- The consequences of putting an XML file into production without prior verification by the Customer.
- Service interruptions due to maintenance operations, hosting provider failures or force majeure events.
- Indirect damage (loss of revenue, loss of data, commercial harm).
MATCHA CORP's liability is in any event limited to the amount actually paid by the Customer during the 12 months preceding the triggering event.
Article 12 – Service availability
MATCHA CORP strives to keep the service accessible 24/7, without however guaranteeing uninterrupted availability. Maintenance operations may cause occasional interruptions, announced where possible with reasonable notice.
Article 13 – Personal data
Le traitement des données personnelles collectées dans le cadre de la souscription est régi par la Privacy policy d'EasyBankFlow. En souscrivant, le Client accepte cette politique.
Article 14 – Consumer mediation
In accordance with articles L.616-1 and R.616-1 of the French Consumer Code, MATCHA CORP offers a consumer mediation scheme. In the event of a dispute not resolved amicably, the consumer Customer may refer the matter to the competent mediator free of charge.

Article 15 – Force majeure
MATCHA CORP cannot be held liable for any delay or non-performance related to the occurrence of a force majeure event as defined by French case law (natural disaster, large-scale cyberattack, widespread infrastructure failure, etc.).
Article 16 – Changes to the Terms of Sale
MATCHA CORP reserves the right to amend these Terms of Sale at any time. Any substantial change is communicated to the Customer by email at least 30 days before it takes effect. Continued use of the service after that date constitutes acceptance of the new Terms of Sale.
Article 17 – Governing law and jurisdiction
These Terms of Sale are governed by French law. In the event of a dispute and failing amicable resolution, the French courts shall have exclusive jurisdiction. For consumer Customers, the competent court is that of the consumer's place of residence.
